CNCCC International Tendering Co., Ltd. (hereinafter referred to as “the Tendering Agent”), entrusted by CNOOC and Shell Petrochemicals Company Limited (hereinafter referred to as “Tenderee”), intends to purchase the Goods and the relevant services required under CSPC Huizhou Phase 3 Ethylene Project by International Competitive Bidding. Bidders are kindly requested to provide the following Goods and services with sealed bids.

Project Summary：CNOOC and Shell Petrochemical Company Limited (hereinafter referred to as “CSPC”) intends to build CSPC Huizhou Phase 3 Ethylene Project in Daya Bay Petrochemical Industrial Park, Huizhou, Guangdong Province to realize the vision of creating a world-class and highly integrated petrochemical base.

3. 對投標(biāo)人的資格和業(yè)績要求：

（1）資格要求

Requirements for Qualification of Bidder

A．如果投標(biāo)人為境內(nèi)注冊公司，投標(biāo)人需提供合法有效的企業(yè)法人營業(yè)執(zhí)照、稅務(wù)登記證及組織機(jī)構(gòu)代碼證或證照合一的營業(yè)執(zhí)照，投標(biāo)時需提供原件掃描件（原件備查）；

如果投標(biāo)人為境外注冊公司，需提供有效的公司登記注冊證明；

The bidder within the customs territory shall provide valid independent legal person business license, tax registration certificate, organization code certificate, or combined certificate and business license. The scanned copy of the original shall be provided during bidding (the original copy for reference);

The bidder outside the customs territory shall provide valid certificate to prove valid business registration certificate.

B. 投標(biāo)人應(yīng)為本次投標(biāo)所投產(chǎn)品的制造商或者授權(quán)代理商。如果投標(biāo)人是代理商，則須提供制造商有效授權(quán)書（授權(quán)書格式見第一冊 第四章 IV-9-4）；如果投標(biāo)人為制造商同一集團(tuán)負(fù)責(zé)銷售投標(biāo)所投產(chǎn)品的全資子公司、控股子公司（投標(biāo)人應(yīng)提供制造商或其上級公司證明上述事項的證明文件），則視投標(biāo)人為制造商。若為制造商投標(biāo)，不能再將此貨物同時授權(quán)給其他投標(biāo)人參與投標(biāo)，否則相關(guān)的所有投標(biāo)將被拒絕。

The bidder shall be the manufacturer or agent of the bidding products. If the bidder is an agent, a valid Letter of Authority from Manufacturer shall be provided（see the format in the Volume I Section IV 9-4）.If the bidder is a wholly-owned subsidiary or holding subsidiary of the same group as the manufacturer responsible for sales of the bidding products, the bidder shall provide relevant evidence documents from the manufacturer or its superior company to prove the above matters, and in such case the bidder shall be deemed as the manufacturer. The bidding product produced by different factories of the manufacturer with the same brand shall be accepted. If the bidder is a manufacturer, the bidding goods cannot be authorized to other bidders to participate in this bidding at the same time, otherwise all related bids will be rejected.

投標(biāo)文件中提供制造商授權(quán)書的中標(biāo)候選人，應(yīng)在中標(biāo)候選人公示后3個工作日內(nèi)將制造商授權(quán)書原件（簽字或人名章或公章均須為原件，不接受掃描打印文件）送達(dá)招標(biāo)人聯(lián)系人進(jìn)行核驗，對于國外制造商授權(quán)書原件，投標(biāo)人提前準(zhǔn)備以滿足核驗原件期限要求。投標(biāo)文件中提供的制造商授權(quán)書可在制造商官方網(wǎng)站上查詢并核驗一致的或紙質(zhì)投標(biāo)已遞交制造商授權(quán)書原件的，可免于送交原件核驗。核驗結(jié)果不一致的，將按照提供虛假投標(biāo)資料處理；未能在規(guī)定期限內(nèi)提供原件的，將視為不如實提供材料處理。上述兩類情況將取消中標(biāo)候選人資格及中標(biāo)資格，并按照中國海油相關(guān)制度規(guī)定給予禁用等處理。

The winning candidates who provide the Manufacturer's authorization letter in the bidding documents shall deliver the original of the Manufacturer's authorization letter (the signature, personal seal or official seal must all be the original. Scanned or printed documents shall be rejected) to the contact person of the tenderer for verification within 3 working days after the public announcement of the winning candidates. For the original authorization letter from the foreign manufacturer, the bidder should prepare it in advance to meet the deadline requirement for verification of original. The manufacturer's authorization letter provided in the tender documents can be searched and verified on the manufacturer's official website. If the original manufacturer's authorization letter has been submitted in the paper tender, it is not necessary to submit the original for verification. If the verification results are inconsistent, it shall be deemed as providing false bidding materials. Failure to provide the original documents within the prescribed deadline shall be deemed as false provision of materials. The above two types of situations will result in the disqualification of the winning candidate and the winning bid qualification, and will be dealt with in accordance with the relevant regulations of CNOOC, such as being banned.

（2）資質(zhì)要求 Requirements of Qualification

投標(biāo)人必須提供制造商的產(chǎn)品在有效期內(nèi)的《特種設(shè)備型式試驗證書》(TSX證書)。特種設(shè)備型式試驗證書在類別、公稱壓力、公稱尺寸和溫度范圍能夠覆蓋招標(biāo)物資。證書中制造單位名稱、地址和投標(biāo)產(chǎn)品的制造單位名稱、地址應(yīng)一致。

Special Equipment License: The bidder must provide the manufacturer's valid "Special Equipment Type Test Certificate" (TSX certificate) for the product. The Special Equipment Type Test Certificate shall cover the category, nominal pressure, nominal size and temperature range of the bidding product. The name and address of the manufacturer in the certificate shall be consistent with those of the manufacturer of the bidding product.

（3）業(yè)績要求Requirement for Bidder's reference:

****至投標(biāo)截止日（以合同簽訂時間為準(zhǔn)），投標(biāo)人所投產(chǎn)品的制造商應(yīng)具有至少1個在中國境內(nèi)的氣動/電動球閥合同的供貨業(yè)績，且單個合同中至少應(yīng)包括1臺設(shè)計溫度不低于650℃且介質(zhì)為烴類的氣動/電動球閥。

From January 1, 2010 to the deadline for submission of the bid (subject to the signing time of the contract), the Manufacturer of the products supplied by the bidder shall have at least 1 contract for supply performance of pneumatic / electric ball valves in China, and this contract shall include at least one pneumatic/electric ball valve with a design temperature of no less than 650℃ and a medium of hydrocarbon.

同一集團(tuán)全球范圍內(nèi)不同制造商（即同一集團(tuán)旗下的全資子公司或控股子公司或制造工廠）制造的所投產(chǎn)品的業(yè)績，視為所投產(chǎn)品的制造商的業(yè)績；投標(biāo)人應(yīng)提供說明函，說明本次所投產(chǎn)品的制造商與滿足上述業(yè)績要求的產(chǎn)品制造商屬于同一集團(tuán)。

The performance of the products submitted by different manufacturers within the same group (i.e., wholly-owned subsidiaries, holding subsidiaries or manufacturing plants under the same group) is regarded as the performance of the manufacturer of the products submitted by the bidder; the bidder should provide an explanatory letter to state that the manufacturer of the products submitted in this bid and the manufacturer of the products meeting the above performance requirements belong to the same group.

投標(biāo)人須按規(guī)定格式提交業(yè)績表，并提交相關(guān)業(yè)績證明文件。業(yè)績證明文件包括：1）銷售合同和2）用戶簽字或蓋章的到貨驗收材料（到貨驗收單或調(diào)試驗收報告或其他可以證明合同項下貨物已經(jīng)到貨驗收的有效證明材料）。投標(biāo)人所提交的業(yè)績證明文件必須至少體現(xiàn)以下內(nèi)容：合同簽署時間、合同簽署頁（國內(nèi)貿(mào)易合同應(yīng)有雙方蓋章，國際貿(mào)易合同應(yīng)有雙方簽字或蓋章）、制造商名稱、項目名稱、貨物名稱(氣動/電動球閥)、設(shè)計溫度、介質(zhì)及用戶簽字或蓋章的到貨驗收材料。

若業(yè)績合同為年度協(xié)議/框架協(xié)議，除提供年度協(xié)議/框架協(xié)議外，還應(yīng)提供相應(yīng)的已到貨訂單，訂單內(nèi)容或編號應(yīng)與年度協(xié)議/框架協(xié)議相關(guān)聯(lián)。同一個年度協(xié)議/框架協(xié)議下提供1個或以上的訂單及與訂單對應(yīng)的到貨驗收材料均算為1個有效業(yè)績。

未提交業(yè)績證明文件，或通過所提供的業(yè)績證明文件無法認(rèn)定滿足上述業(yè)績要求的，均視為無效業(yè)績。

The Bidder shall furnish reference list in given form, and provide corresponding documentary evidence. The documentary evidence shall include 1) copies of sales contract and 2) acceptance evidence of goods delivery signed or sealed by the user (Arrival acceptance certificate or commissioning acceptance or other effective materials that can prove the arrival acceptance of goods under the contract). The reference evidence documents furnished by Bidder shall as least demonstrate the content as follows: Date of signing contract, contract signing page(domestic trade contracts should have signatures or seals from both parties, international trade contracts should have signatures or seals from both parties), name of manufacturer, name of the project, name of the goods (pneumatic/electric ball valve), design temperature, medium and acceptance evidence of goods delivery signed or sealed by the user.

If the performance contract is an annual agreement/framework agreement, in addition to providing the annual agreement/framework agreement, corresponding received orders should also be provided, and the order content or number should be associated with the annual agreement/framework agreement. Providing one or more orders and corresponding acceptance evidence under the same annual agreement/framework agreement is considered as one valid performance.

If no documentary evidence furnished, or documentary evidence furnished can not demonstrate the above performance requirements, the relevant reference will be deemed invalid.

如果投標(biāo)人是代理商，****至投標(biāo)截止時間（以合同簽署時間為準(zhǔn)），投標(biāo)人應(yīng)具有至少1個合同的與本次投標(biāo)制造商的氣動/電動球閥的代理業(yè)績，并提供相關(guān)業(yè)績證明文件。業(yè)績證明文件包括但不限于銷售合同復(fù)印件，至少體現(xiàn)以下內(nèi)容：合同簽署時間、合同簽署頁（國內(nèi)貿(mào)易合同應(yīng)有雙方蓋章，國際貿(mào)易合同應(yīng)有雙方簽字或蓋章）、貨物名稱（氣動/電動球閥）、代理商名稱、制造商名稱。未提交業(yè)績證明文件，或通過所提供的業(yè)績證明文件無法認(rèn)定滿足上述業(yè)績要求的，均視為無效業(yè)績。

If the bidder is an agent, from January 1st, 2022 to the deadline for submission of the bid (subject to the signing time of the contract), he bidder shall have at least one contract of agency performance for pneumatic/electric ball valves with the manufacturer of this bid and provide corresponding documentary evidence. The sales performance documentary evidence includes but not limited to a copy of the sales contract, which should at least reflect the following contents: the date of contract signing, the contract signing page (domestic trade contracts should have signatures and seals from both parties, international trade contracts should have signatures or seals from both parties), and the name of the goods( pneumatic/electric ball valve), name of the agent and name of the manufacturer. If no documentary evidence furnished, or documentary evidence furnished can not demonstrate the above performance requirements, the relevant reference will be deemed invalid.

The interested Bidders may obtain the bidding document by following method: Please login at CNOOC Procurement Operation System (https:****) on the page of Invitation for bid for purchasing Bidding Document from September 19, 2025 to September 26, 2025. For the first time of login, a registration (free of charge) is needed and only after successful registration, Bidder can purchase Bidding documents online. The bidder shall fill in the registration form for purchasing bidding documents online and pay online. After successful payment, the bidder can download the bidding documents by itself. The price of each set of bidding documents is RMB200 or USD30, and it is non refundable after sales. For the bidder who purchases the bidding documents in US dollars, it is required to wire transfer to the following account number:

The deadline and method for submission of bid: All bids must be accompanied by a bid security as specified and must be submitted online on China International Bidding website (http:****) at or before 9:00 am (Beijing Time) on October 14, 2025. Any bid beyond the required time and date shall be subject for rejection.

After obtaining the bidding documents, the bidder shall log on the trading platform of bidding and tendering for mechanical and electrical products to handle the CA lock, which is convenient for online bidding. For consultation, the whole process can be operated by ****-1.

Before bidding, the bidder should complete registration and information verification at https:**** or https:****. The bid evaluation results will be published on the website (http:****) and China National Offshore Oil Corporation Procurement Platform (https:****) .

10.提示Notes

投標(biāo)人進(jìn)入開標(biāo)大廳后，需要進(jìn)行簽到操作，等待開標(biāo)主持人指令。允許解密后，投標(biāo)人點擊解密按鈕進(jìn)行解密投標(biāo)文件（需解密前在電腦上插入當(dāng)前賬號綁定的CA），輸入正確的CA密碼。（請注意：如投標(biāo)人未在投標(biāo)截止時間/開標(biāo)時間前進(jìn)行簽到，原則上將無法進(jìn)行解密，將被視為撤回其投標(biāo)文件。）

The bidder need to sign in and wait for instruction issued by the host after entering the virtual bid opening hall online. After the decryption is allowed, the bidder click the decryption button to decrypt the bid document (insert the CA bound to the current account on the computer before decryption) and enter the correct CA password. (PS: The bidder will not be able to decrypt in principle and be considered to withdraw the bid documents if fails to sign in before the deadline for the submission of bids or the date of bid opening.)

投標(biāo)文件解密時限為60分鐘。投標(biāo)人未在上述解密時限內(nèi)完成解密視為解密失敗，根據(jù)電子招標(biāo)投標(biāo)辦法的規(guī)定，視為投標(biāo)人撤回投標(biāo)文件。

The decryption time limit of the bid documents is 60 minutes. It's deemed to fail to decrypt when the bidder fails to decrypt within the given time. Under the circumstances, it's deemed that the bidder withdraw the bid documents according to the regulation of Electronic Tendering and Bidding Methods.

投標(biāo)人對開標(biāo)有異議的，應(yīng)當(dāng)在開標(biāo)現(xiàn)場提出，招標(biāo)人當(dāng)場做出答復(fù)，并制作記錄。未在線上開標(biāo)現(xiàn)場提出的開標(biāo)異議，不予受理。

Any objection to the bid opening raised by the bidder shall be raised at the bid opening site and the tenderee shall answer on the spot and make a record. It’s not accepted that the bidder has not raised objections at the bid opening site online.
